GEORGETOWN TEXAS AREA CAR CLUB

Hereafter in this document, the term "Member" shall refer to a member of the Georgetown Texas Area Car Club (GTACC). Likewise, the term "EXECUTIVE BOARD" shall refer to the Executive Board of the Georgetown Texas Area Car Club. Also, the pronoun "he" encompasses both genders.

ARTICLE I - Name

SECTION 1. The name of the organization shall be "Georgetown Texas Area Car Club”, abbreviated GTACC (pronounced “G-Tack”).

ARTICLE II - Purpose

SECTION 1. To purpose of the organization is to conduct the activities of a social and service club having a common interest in the appreciation, promotion, construction and use of classic, antique, vintage, street rod and special interest vehicles in the Georgetown area of Texas.

SECTION 2. The organization will engage in social activities, rallies, tours, shows, cruises, community support activities, and other events in which all members of the organization are entitled and encouraged to participate.

SECTION 3. GTACC will be a not for profit organization. No part of the net earnings of the organization shall inure to the benefit or be distributed to its members, directors, officers or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth herein, provided that any monetary benefits which flow to members shall be incidental to the operations of the organization.

ARTICLE III - Membership

SECTION 1. Membership is open all individuals in the Georgetown, Texas area, 18 years of age or older, who own or have a genuine interest in classic, antique, vintage, street rod, or special interest vehicles. By entering into a membership with GTACC, they agree to be a responsible person and follow the club's bylaws.

SECTION 2. Membership shall require an annual membership fee as established by the membership. Members in good standing shall enjoy all rights and privileges of this club, and have one vote on matters submitted to the vote of the membership.

SECTION 3. Eligible family members of a single household are required to pay only one membership fee per household. Households that elect to pay only one membership fee per household will have only one vote on matters submitted for vote to the membership.

SECTION 4. Members are encouraged to attend all meetings and GTACC sponsored events.

SECTION 5. All activities and/or social functions for members paid for partially or in full by GTACC monies shall be open to members and their immediate family only (Family is defined as a spouse or girlfriend/boyfriend and children under their legal guardianship).

SECTION 6. Any member may resign his membership by providing a written resignation to the GTACC Secretary. Such resignation shall be effective upon receipt of such notice and upon payment of any and all indebtedness to the club. There will be no refund of unexpired dues.

SECTION 7. Membership shall be terminated for failure to pay dues when due. Infractions of club rules and/or other actions may also be cause for expulsion from the club. If and when a member violates the rules and/or policies outlined in these GTACC bylaws, or engages in actions which may otherwise reflect unfavorably on the club, he may be subject to disciplinary action, which may include dismissal from the GTACC. Members being considered for such action will be notified in writing by the GTACC Secretary, and be provided the right to submit his position to the voting membership. A majority vote would prevail.

SECTION 8. A member, probationary member, or prospective member dismissed from GTACC will be notified in writing by the GTACC Secretary.

ARTICLE IV - Officers

SECTION 1. The governing body or Executive Board of GTACC shall consist of the following elected officers: President, Vice President, Secretary, and Treasurer. All former Presidents will remain members of the Executive Board for as long as they remain active members.

SECTION 2. Duties of officers shall be:

A. President. The President shall preside at all meetings, have general supervision over business affairs of the club, preserve parliamentary order and maintain observance of the bylaws. The President's vote shall count as two (2) in case of a tie vote on all matters except elections.

B. Vice-President. The Vice-President shall take charge in the absence of the President and perform certain duties delegated to him by the President. He shall maintain all attendance records and distribute club membership cards.

C. Secretary. The Secretary shall keep the minutes and be responsible for writing and distributing the club newsletter, as well as all other correspondence of the club.

D. Treasurer. The Treasurer shall handle all club funds, send bills, collect dues, and keep an accurate and up to date account of all receipts and expenditures. He will give a financial report at each meeting.

SECTION 3. An Executive Board quorum will consist of any three of the four governing officers.

SECTION 4. Standing committees will be appointed by the Executive Board as required.

Section 5. Duties of the committee chairpersons will be to coordinate all activities of said committee.

SECTION 6. Club officers and/or working committees shall be able to claim reasonable out of pocket expenses incurred while performing club functions; i.e., business meetings, Executive Board meetings, or work parties. These expenses are subject to approval of the Executive Board prior to payment.

ARTICLE V - Elections

SECTION 1. Nominations for all elected officers will be taken one meeting prior to the election. Election of officers will be held at the December business meeting. An individual must be a member of the club for one year before the nominations meeting to be eligible for an elected office.

SECTION 2. Special elections may be called by majority vote of the membership at any meeting. Nominations will be taken at the same meeting, with the election being held the following meeting.

SECTION 3. When an election ends in a tie, the membership will continue to repeat the vote until the tie is broken. All nominees will remain in the election unless they voluntarily withdraw.

SECTION 4. Officers or elected committee chairpersons guilty of dereliction of duties may be impeached by recommendation of the Executive Board.

SECTION 5. Officers or elected committee chairpersons who choose to resign his duties may do so in writing. Replacement of these people will fall under Article V, Section 2.

SECTION 6. When an officer cannot fulfill his duties in an emergency situation, he will be temporarily replaced by a Presidential appointment. If the officer is the President, his position will be temporarily assumed by the Vice President. If the President is permanently unable to fulfill his position, the Vice President will assume his position. All other vacancies will be filled according to Article V, Section 2.

SECTION 7. All voting for officers or committee chairpersons will be done by secret ballot.

ARTICLE VI - Dues and Benefits

SECTION 1. Annual dues of $25.00 shall be payable in advance of the beginning of the membership year, which starts on December 1 and ends on November 30 of the following year or when applying for membership. New members joining GTACC between September 1 and November 1 will have the normal membership fee reduced to $15.00. They will then be required to meet the financial obligation of $25.00 dues after December 1 for the coming year. Members joining between November 2 and November 30 will be required to pay the full $25.00 fee and will receive credit for the coming year membership fee.

SECTION 2. Delinquent payments carry an automatic $5.00 late charge. In order to be considered for reinstatement, all back dues and late charges must be received by the Treasurer.

ARTICLE VII - Meetings

SECTION 1. Annual Meetings. The annual meeting of the members shall be held in the month of December each year for the purpose of electing the GTACC Executive Board members to serve in the upcoming year, and for the transaction of such business that may come before the meeting.

SECTION 2. Special Meetings. Special meetings may be called at the discretion of the President, the Executive Board, or at the request of five (5) or more regular members.

SECTION 3. Regular Meetings. GTACC will normally hold one business meeting per month. Regular meetings will usually be held on the first Saturday of each month at 7:30 AM, at the place determined by the Executive Board. During the course of the year, meetings may be held at other dates but will be announced in writing sufficiently in advance to the membership. The majority of voting members present at any meeting shall constitute a quorum.

SECTION 4. The President and Executive Board shall designate the time and place of annual, regular or special meetings.

SECTION 5. The club's monthly business meeting will follow this outline:

H. Good and Welfare (remarks for the good of the club)

SECTION 6. A member entitled to vote but unable to attend a meeting may do so by proxy, executed in writing by that member.

SECTION 7. A majority of votes entitled to be cast on a matter to be voted upon by the members present or represented by proxy at a meeting at which a quorum is present, shall be necessary for the adoption thereof.

ARTICLE VIII - Amendments

SECTION 1. Amendments or changes to the Bylaws can be proposed at any time by a member in good standing. The proposed amendment must be submitted (written, signed, and dated) to the President. The amendment or change will be read to the membership at the next business meeting for a ratification vote.

SECTION 2. Balloting for amendments to the club Bylaws will be done by secret ballot if requested by the member proposing the amendment.

SECTION 3. Any amendments or articles previous to, but not printed in this document, "Bylaws – Georgetown Texas Area Car Club”, adopted XX/XX/05 will be considered null and void, passed or not, recorded or not.

ARTICLE IX – GTACC Name, Logo, Insignia, etc.

SECTION 1. It shall be prohibited for any person or persons to profit from the name, logo, insignia, or other related things of GTACC without prior written approval of the membership.
